Terms of Service

These Terms of Service ("Terms") govern your use of Cyclic ("Cyclic", "we", "us"), a software platform for Part 145 helicopter maintenance, repair, and overhaul ("MRO") shops, operated at cyclicmro.com. By creating an account or using the platform you agree to be bound by these Terms.

1. Eligibility and accounts

Cyclic is intended for use by FAA Part 145 (or equivalent EASA Part-145) certified repair stations and the people they authorize. By creating an account you represent that you have authority to bind your shop ("Operator") to these Terms. You are responsible for keeping your account credentials secure and for activity that occurs under your account.

2. Tenant data

Each Operator is provisioned a tenant-isolated workspace within Cyclic. Your customers, aircraft, engines, quotes, manuals you upload, and any other content you put into the platform ("Operator Content") remain your property. Cyclic does not display Operator Content to other Operators, and we do not aggregate Operator Content across tenants except as anonymized statistics that contain no Operator identifiers, customer names, serial numbers, dollar amounts, or part numbers.

You grant Cyclic a limited license to host, store, copy, transmit, display, and process Operator Content solely as needed to provide the service to you. We do not sell Operator Content. We do not use Operator Content to train third-party machine-learning models. We do not share Operator Content with third parties except as required to deliver the service (e.g., hosting providers, payment processor, error-tracking provider — see the Privacy Policy for the full list).

3. OEM materials

Cyclic supports a "bring your own manuals" model. You may upload Aircraft Maintenance Manual ("AMM"), Illustrated Parts Catalog ("IPC"), Service Bulletin, or other OEM-published documents that you have a license or right to use. You represent that any OEM material you upload is licensed to your shop or otherwise authorized for your use, and that uploading it to Cyclic for your own internal use does not violate the OEM's terms.

Cyclic does not scrape OEM portals on your behalf. We do not store OEM portal credentials except as you explicitly choose to do so via the OEM Portal Connections panel for portals whose terms permit automated access by an authorized account holder. Where an OEM's terms forbid or do not address automated access, Cyclic provides only a manual-upload path.

4. Acceptable use

See our Acceptable Use Policy. Violation of the AUP may result in suspension or termination of your account.

5. Subscriptions, billing, and refunds

Cyclic may offer free and paid subscription tiers. Paid subscriptions are billed in advance via Stripe on a monthly or annual basis as you select. Subscription fees are non-refundable except as required by applicable law. You may cancel a paid subscription at any time; cancellation takes effect at the end of the current billing period. Cyclic may change prices on at least 30 days' notice; price changes apply to subsequent billing periods.

6. Service availability

Cyclic uses commercially reasonable efforts to keep the service available and to back up Operator Content stored in the platform. We do not currently offer a contractual uptime guarantee. The service is provided on an "as is" basis. You should keep your own copies of Operator Content important to your business.

7. Confidentiality

Each party (Cyclic and Operator) agrees to keep the other's confidential information in confidence and not to use it for any purpose outside of the service. Operator Content is the Operator's confidential information. Cyclic's product, source code, pricing, and non-public roadmap are Cyclic's confidential information.

8. Intellectual property

Cyclic and its underlying software, including the priors-calibration dataset derived from anonymized historical Part 145 helicopter quotes, the calibration overlay, the AD/SB cross-reference engine, the EBIS adapter, and the customer signed-URL flow, are the property of Cyclic and protected by U.S. and international intellectual-property law. Nothing in these Terms transfers ownership of Cyclic to the Operator. Operator Content remains the Operator's property as described in Section 2.

9. Compliance with aviation regulation

Cyclic is software. Cyclic does not perform maintenance, does not certify airworthiness, does not approve return-to-service, and is not a substitute for the Operator's Repair Station Manual, Quality Control Manual, or other regulatory documentation. The Operator and its certificated personnel are solely responsible for all maintenance decisions, FAA / EASA / Transport Canada / equivalent regulatory compliance, AD / SB applicability determinations, and all data entered into Cyclic.

Cyclic surfaces public regulatory data (FAA airworthiness directives, EASA airworthiness directives, manufacturer service bulletins) as a convenience. The Operator is responsible for verifying applicability to specific aircraft and serial numbers before action. Cyclic makes no warranty that the public regulatory data within the platform is current, complete, or correctly applied to a specific aircraft.

10. Limitation of liability

To the maximum extent permitted by applicable law, in no event will Cyclic or its officers, directors, employees, or contractors be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or in connection with your use of the service, even if Cyclic has been advised of the possibility of such damages. Cyclic's aggregate liability for any claim arising out of or relating to the service shall not exceed the fees the Operator has paid Cyclic in the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100), whichever is greater.

11. Indemnity

The Operator agrees to indemnify and hold Cyclic harmless from claims arising from (a) Operator Content uploaded or generated by the Operator, (b) the Operator's violation of these Terms or applicable law, and (c) the Operator's maintenance work, regulatory determinations, or customer relationships. Cyclic agrees to indemnify and hold the Operator harmless from claims that the Cyclic platform itself infringes a third party's intellectual property right.

12. Termination

You may close your account at any time by contacting hello@cyclicmro.com. Cyclic may suspend or terminate your account for material breach of these Terms or the AUP, on reasonable notice where practical. On termination, you may export Operator Content via the export tooling for thirty (30) days; after that period Cyclic will delete Operator Content from active systems within sixty (60) days, subject to retention required by law and as described in the Privacy Policy.

13. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflicts-of-law principles. The exclusive jurisdiction and venue for any dispute arising from or relating to these Terms shall be the state or federal courts located in Los Angeles County, California. Each party waives the right to a jury trial. Class actions are waived.

14. Changes to these Terms

Cyclic may update these Terms from time to time. We will post the updated Terms at this URL and update the "Effective" date. Material changes will be communicated by email to the address on file. Continued use of the service after the updated Terms take effect constitutes acceptance.
